We have strong relationships with the regulatory and exchange bodies in the countries where we operate, as well as in those where we work without a permanent office, assisting our clients to navigate paths through local, national, and international rules and regulations.
We use our expertise to benefit our clients. As an example, we have created tailor-made agreements for particular financial products for which standard forms do not readily apply.
Equity Capital Markets
The range of transactions we advise on encompasses Initial Public Offerings (“IPO”), secondary offerings, rights issues, placings and convertible/exchangeable bonds.
Our IPO experience encompasses both main market listings as well as alternative markets such as the Alternative Investment Market (AIM) in London and the Growth Enterprise Market in Hong Kong. We are also well placed to assist Sponsors and Nominated Advisers ensure that companies brought to such markets meet the relevant criteria.
Debt Capital Markets
Our experience in debt capital raising includes EMTN programmes, fixed/floating rate note issues, subordinated loan note issues, Euro Commercial paper issues, mortgage-backed securitisation (or other kinds of lease or rental receivables), as well as covered bond programmes.
Regulatory
As we advise clients on banking and investment banking regulation and supervision across our 22 offices, we know the governmental and regulatory constraints which apply to lenders and investors and apply this knowledge to clients’ specific and individual circumstances.
Derivatives
We also advise on a broad spectrum of OTC and exchange traded derivatives. These range from interest rates and currency derivatives to commodity, equity and credit derivatives. We are frequently involved in advising banks and investment firms on the regulation of derivatives including their regulatory capital treatment and “suitability” issues, and on the rules and practices of derivatives and commodities exchanges and clearing houses.
We also act for “end users” of derivatives such as property companies and energy companies, especially as this is an area where it is likely to be their first experience of using such instruments to manage risk.
Salans is an associate member of both the International Swaps and Derivatives Association (ISDA) and the International Capital Markets Association (ICMA).
